Terms of Use

These Terms govern your use of cargocut.com (the "Site"), which is operated by HDC Brands LLC, a New Jersey limited liability company doing business as CargoCut and Carbon Grey Labs ("CargoCut," "we," "us," "our"). CargoCut is a studio of Carbon Grey Labs. We are a United States company and serve clients worldwide.

This document is provided in English. The English version governs.

1. Agreement to these Terms

By accessing or using the Site, requesting a spec film or otherwise contacting us through the Site, you agree to these Terms of Use and to our Privacy Policy, Cookies Policy and AI Policy. If you use the Site on behalf of a company, you confirm that you are authorized to accept these Terms for it. If you do not agree, do not use the Site.

We may update these Terms at any time. The "Last updated" date above shows the current version, and continued use of the Site after a change means you accept it.

2. What the Site is

The Site describes our film production services for logistics, trade and business-to-business companies. It is informational. Browsing the Site, sending a request or receiving a spec film does not create a service agreement, an order or any obligation to buy.

Commissioned work is governed only by a separate written agreement or statement of work signed by both parties ("Production Agreement"). If a Production Agreement conflicts with these Terms, the Production Agreement controls for that work.

3. Spec films and samples

A spec film is a short, unsolicited sample we may prepare to show what a film for your company could look like. Unless agreed otherwise in writing:

  • spec films are provided free of charge, for evaluation only, and are shared privately with the requesting company;
  • no license to use, publish, broadcast or advertise with a spec film is granted until a Production Agreement is signed and paid;
  • we do not publish a spec film that names or depicts your company without your written permission;
  • names, marks and publicly available information about your company are used only to make the private sample relevant, and their use never implies endorsement by, or affiliation with, your company;
  • you may ask us at any time to delete a spec film made about your company, and we will do so.

4. Pricing and quotes

Prices shown on the Site, including "from" prices, are starting points in US dollars and do not include taxes, media spend, licensed third-party music or stock, travel or other pass-through costs. Final scope, deliverables, timing, price and payment terms are set only in a Production Agreement.

5. Use of the Site

You may use the Site only for lawful purposes. You agree not to:

  • interfere with or disrupt the Site or its security;
  • attempt to gain unauthorized access to any system or data;
  • collect content or data from the Site by automated means without our written consent;
  • transmit malicious code, spam or unsolicited communications through the Site;
  • misrepresent your identity, company or authority when contacting us.

6. Materials you send us

If you send us footage, images, logos, documents, briefs or other materials ("Your Materials"), you confirm that you have the right to share them and allow us to use them to respond to you and prepare the work you asked for. You keep all rights in Your Materials. We do not use Your Materials to train our own or any third party's AI models.

Unless a separate confidentiality agreement applies, general ideas and feedback you send through the Site are not confidential, and we may use general concepts without obligation. Please do not send trade secrets through the Site; we are happy to sign a mutual NDA before you share sensitive information.

7. Intellectual property

The Site and its content, including the CargoCut and Carbon Grey Labs names, text, imagery, films, page designs, graphics and code, are owned by HDC Brands LLC or its licensors and are protected by copyright, trademark and other laws. You may view the Site for personal and internal business purposes. You may not copy, reproduce, modify, distribute, publicly display or create derivative works from it without our prior written permission.

Ownership of and licenses to commissioned films are defined in the applicable Production Agreement.

8. AI-generated content

Imagery and films on the Site and in our work are produced with the help of artificial-intelligence tools under human direction, and are labeled as AI-generated where required. Our AI Policy explains how we disclose AI use, protect likeness and voice, and handle client materials.

9. AI-assisted team members

Our team includes AI-assisted team members ("AI workers") who support research, production, business development and operations under human management and oversight. Emails and other messages from CargoCut may be prepared or sent with the help of these systems. HDC Brands LLC remains fully responsible for every communication made in its name. If you prefer to communicate only with a human team member, tell us and we will arrange it.

10. Third-party links and services

The Site may link to third-party websites and services, including platforms where films are published. We do not control and are not responsible for their content, policies or practices. Your use of them is at your own risk and subject to their terms.

11. Disclaimer of warranties

THE SITE AND ANY SPEC FILM ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE, OR THAT ANY FILM WILL PRODUCE A PARTICULAR BUSINESS RESULT.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HDC BRANDS LLC AND ITS MEMBERS, OFFICERS, EMPLOYEES AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA OR GOODWILL, ARISING OUT OF OR RELATED TO THE SITE OR ANY SPEC FILM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SITE OR ANY SPEC FILM WILL NOT EXCEED ONE HUNDRED US DOLLARS (US $100).

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you. Nothing in these Terms limits liability that cannot be limited under applicable law.

13. Indemnification

You agree to indemnify and hold harmless HDC Brands LLC from claims, damages, liabilities and expenses, including reasonable attorneys' fees, arising from your misuse of the Site, Your Materials, or your breach of these Terms.

14. Governing law and disputes

These Terms, and any dispute arising from the Site or from communication with HDC Brands LLC, are governed by the laws of the State of New Jersey and applicable United States federal law, without regard to conflict-of-law rules. Any dispute will be resolved exclusively in the state or federal courts located in New Jersey, and you consent to their jurisdiction and venue. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

If you are a consumer, you may also have rights under the mandatory laws of your country of residence that these Terms do not override.

15. Export and sanctions

You may not use the Site or our services in violation of United States export-control or economic-sanctions laws, or if you are located in, or acting on behalf of a party in, a jurisdiction or list subject to comprehensive US sanctions.

16. General

If any provision of these Terms is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them to an affiliate or a successor. These Terms, together with the policies referenced above, are the entire agreement between you and us about the Site.
